Agentic OS Terms of Service
Effective date and version: 19 October 2026, version 1.2
Article 1 — Provider, contract partner and scope
Agentic OS is provided by Bacalu Constantin-Iulian, trading as QTS One, Lehrter Str. 23A, 10557 Berlin, Germany ("QTS One", "we"). These Terms govern agentic.qts.one, Accounts, Organisations, Contracts, Agents, Runners, Work Records and the Dev, Pro and Enterprise Tiers. The Impressum contains current operator details. Questions go to contact@qts.one.
The contract for Agentic OS is with QTS One. Eligible payments are processed through Stripe Managed Payments / Link as merchant of record where supported. Link handles the payment, applicable indirect tax, receipt or invoice and approved refund transaction. Link is not the provider of Agentic OS.
Article 2 — Who may use the service
Agentic OS is available to businesses and consumers. A consumer is a natural person acting mainly outside their trade, business or profession (§ 13 BGB). A business customer acts in the course of its trade, business or profession (§ 14 BGB). If you create an Account for an organisation, you confirm that you are authorised to do so.
Article 3 — The service
Agentic OS coordinates AI-assisted engineering work. A request becomes a Work Record. One or more Agents can use a configured Runner, repositories, Sources, AI/CLI providers and tools to prepare changes and evidence. Contracts, Grants, Budgets, approval mandates and human gates control what an Agent may do.
AI and automated tools can produce incomplete, insecure or incorrect outputs. You must apply the review and approval controls appropriate to the risk before using an output. Agentic OS does not guarantee that an output is correct, lawful, secure, accepted by a third party, or fit for a particular purpose.
Article 4 — Accounts, customer responsibilities and acceptable use
You must provide accurate information, protect sign-in sessions, Runner credentials and connected accounts, and promptly report suspected unauthorised access. You are responsible for your users, repositories, Sources, instructions, approvals and the lawful basis for personal data you submit.
Do not use Agentic OS to break the law; access systems without authority; distribute malware; evade security, quotas or approval gates; infringe intellectual-property or privacy rights; or submit credentials, payment-card data, special-category personal data or third-party confidential material that the work does not require.
You keep ownership of your content. You grant QTS One the limited right to process it only as needed to provide, secure and support the service and meet legal duties. QTS One retains its software, documentation, product design, trademarks and service materials. Open-source and third-party materials keep their own licences.
Article 5 — Tiers, trials, seats and service limits
The current checkout or written order states the Tier, price, billing interval, included limits, trial and Add-ons. Dev and Pro currently include a seven-day card-required trial. An Enterprise evaluation may be offered for 30 days without a card. Tier limits, fair-use controls and configured retention apply as shown before order. We may refuse abusive or technically harmful use.
A seat is one unit of your Account's Tier subscription. Checkout includes one seat; there is no separate base fee. Each active Contract your Account pays for uses one seat, including while it is suspended. An open Contract proposal holds one of your Account's seats only when your side sends that version and names your Account as payer. If the other side sends a version naming your Account as payer, a free seat is needed when you accept it. The Checkout seat is available for your Account's first seat-using Contract or open proposal. Accepting a proposal transfers any seat hold to the resulting Contract. Declining, withdrawing or letting a proposal expire releases its hold. A counter-proposal or amendment follows the same rule for the side sending the new version and its named payer. Ending a Contract frees its seat for another permitted use. A freed seat remains in the number of seats you have bought until an Account Admin reduces that number. A seat-using action requires a free seat and never itself orders or charges for another seat.
Only an Account Admin may order more seats. An order submitted but not yet paid adds no seats. You cannot order extra seats while your Account remains on a free trial. In the same paid order step you may choose to end the trial now and buy the resulting paid subscription and extra seats. If that payment does not succeed, the trial and seat quantity stay as they were. An Enterprise evaluation without a payment subscription keeps its evaluation limits until conversion by an order.
We may change future prices or Tier contents prospectively. A material reduction to an already-paid fixed period does not remove mandatory statutory remedies. For recurring plans, price or material contract changes require notice and any consent or termination option required by law.
Article 6 — Seat orders, payment and refunds
Stripe provides Checkout, Managed Payments, payment methods, subscription billing, the customer portal, invoices and approved refunds. Eligible payments are processed through Stripe Managed Payments / Link as merchant of record where supported. Agentic OS does not store full card numbers. Link may display and charge a converted local-currency amount and disclose its conversion terms before payment.
Before you press “Buy and pay”, we show the number of seats added, the final amount charged today, the period it covers, the next billing date, and your Account's full monthly total after the order, with the Tier seats and any Add-ons identified separately. Amounts shown in euros include VAT. If the order ends a trial, we show the charge for all seats from today and the new monthly billing date. The amount charged must match the amount shown; if the quote expires or the amount changes, we show a new quote and ask you to order again. Submitting a seat order cancels a scheduled seat reduction; we tell you this before submission.
Pressing “Buy and pay” sends us your order. We promptly email an order receipt to confirm that it arrived. The receipt does not accept the order. We accept the order, and the contract for the additional seats is formed, only when the payment succeeds and the subscription update is applied. A failed, unconfirmed or lapsed payment does not add seats; if the pending order lapses, we email you. We send a contract confirmation by email as soon as we accept, with the order terms, the Terms version, withdrawal information and the declarations you made. The additional seats become usable when that confirmation is sent. If a confirmation cannot be sent, we retry and tell the Account Admin that the paid seats are not yet ready.
If paid additional seats are still not usable one hour after payment, the Account Admin may cancel that seat order for a full refund. If they are still not usable after 24 hours, we cancel and refund the order automatically. We restore the previous seat quantity. If the order ended a trial, we restore its original end date if that date is still in the future; if it has passed, the Account remains on its paid plan with its previous seats and those seats are billed from the next billing date. We show this consequence before a manual cancellation. If the contract confirmation is sent more than one hour after payment, the seats become usable and we credit the added seats' share of the paid time from payment until confirmation, rounded up to whole days, to the next invoice. We state that credit in the confirmation.
An Account Admin may schedule a reduction, but not below seats in use or held by open proposals. The reduction takes effect on the next billing date, without a refund for the current paid billing period. The customer portal provides payment-management and ordinary cancellation functions. Ordinary cancellation stops renewal at the end of the paid billing period. There is no minimum term. These refund, credit and cancellation rules do not restrict any statutory right, including a consumer's withdrawal rights or remedies for failure to provide a digital service.
Article 7 — Consumer withdrawal right
If you are a consumer, you generally have 14 days to withdraw from a distance contract under §§ 312g and 355 BGB. The separate Widerruf / Withdrawal page contains the statutory instructions and model form. It forms part of the pre-contract information.
If you ask us to start the service during the withdrawal period, you may owe the proportionate amount for service supplied before your withdrawal where the statutory conditions in § 357a BGB are met. The right expires for a service only after complete performance and only if the statutory express consent and acknowledgement requirements are met (§ 356 Abs. 5 Nr. 2 BGB). Send a withdrawal to contact@qts.one, not to Stripe.
The checkout must obtain and retain the required consumer declarations, their exact wording/version and timestamp before immediate performance begins. If that control is not live, paid consumer checkout must not launch.
Article 8 — Data protection and confidentiality
The Privacy Notice explains QTS One's controller processing. Where QTS One processes personal data for a customer, the parties must enter into an Art. 28 GDPR DPA before that processing. Each party protects the other's confidential information and uses it only for the contract, except where disclosure is required by law.
Article 9 — Availability, changes and suspension
We aim to provide a reliable service but do not promise uninterrupted availability. Maintenance, provider outages and the customer's Runner or connected services can affect operation. We may suspend access where reasonably necessary for security, payment default, legal compliance, serious misuse or protection of other customers. Where practical, we will give notice and a way to remedy the issue.
Article 10 — Term and termination
The Account subscription is billed monthly and has no minimum term. An Account Admin may schedule fewer seats on the Account page, subject to Article 6, or cancel renewal through the Stripe customer portal or by contacting us. An ordinary seat reduction or cancellation takes effect at the next billing date, after the current paid billing period. Ending a Contract or releasing a proposal frees the seat but does not by itself lower the paid seat quantity. Statutory withdrawal, extraordinary termination and other mandatory rights remain unaffected.
We may terminate for a material breach after a reasonable remedy period, unless immediate termination is justified. On termination, access ends according to the order and configured retention. Statutory retention and legal holds remain unaffected.
Article 11 — Warranty and liability
Mandatory statutory rights, including consumer rights for digital products under §§ 327 ff. BGB, remain unaffected.
We are liable without limit for intent and gross negligence; injury to life, body or health; fraudulent concealment; guarantees; and liability that cannot legally be limited. For slight negligence, we are liable only for breach of an essential contractual duty and only for the foreseeable damage typical for the contract. The limitation in the preceding sentence does not apply to the unlimited-liability cases above. Liability under the Product Liability Act remains unaffected.
You remain responsible for reviewing AI-generated output and for decisions to deploy, publish, merge or otherwise use it.
Article 12 — Complaints, law and contract language
Send complaints to contact@qts.one. We are neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board.
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice does not remove mandatory protection of the country where they habitually reside (Art. 6 Rome I Regulation). Exclusive jurisdiction at QTS One's place of business applies only where legally permitted for business customers. The contract language is English.
Article 13 — Terms version and acceptance evidence
The Terms version shown at Checkout or before a paid seat order governs that order. QTS One records the version, the accepted text or immutable reference, the Account and Account Admin, the time and the acceptance event. For a seat order we also record the order receipt, the payment result, the declarations made and the contract confirmation. We supply the Terms and contract information on a durable medium where § 312f BGB requires it. Material changes apply prospectively unless the law and the contract permit another process.
